Terms of Service

Version: 2026-10-23
Effective date: 2026-10-23

These Terms govern the use of this website and business-related transactions concerning Lingobit products and services.

These Terms are commercial and website terms. Product-specific software use is governed by the applicable Localizer or Extractor EULA.

1. Scope

These Terms govern the use of this website and business-related communications and transactions concerning Lingobit products and services, including software licenses, updates, maintenance, support, and related services.

2. Provider

These Terms are between you and:

Mikhail Taratin, trading as Lingobit Technologies (the "Provider")
c/o flexdienst - #10934
Kurt-Schumacher-Straße 74
67663 Kaiserslautern
Germany

Email: support@lingobit.com

The Provider operates as a sole proprietorship.

3. Prices and taxes

Prices are quoted in EUR or USD, as indicated on the website or in the quotation. The final price and payment currency are specified in the quotation and invoice.

VAT treatment depends on the customer's country and tax status.

For customers in Germany, supplies are exempt from VAT under § 19(1) UStG.

For business customers in other EU member states, the reverse-charge mechanism generally applies.

Supplies to business customers outside the EU are generally not subject to German VAT. Local taxes may apply under the laws of the customer's jurisdiction.

4. Business and professional customers only

These Terms apply only to customers acting as entrepreneurs or business customers within the meaning of § 14 BGB, and not to consumers within the meaning of § 13 BGB.

By placing an order or submitting a quotation, licensing, or purchase request, the customer confirms that the transaction is made for business, professional, institutional, freelance, organizational, or public-sector purposes.

We reserve the right to reject or cancel orders if the customer does not qualify as a business or professional customer.

5. Website content and product information

This website provides information about Lingobit products, including Lingobit Localizer and Lingobit Extractor, as well as related licensing, download, maintenance, and support information.

Product editions, supported features, purchase options, maintenance terms, and trial limitations may be described on the website, in quotations, invoices, order confirmations, or other purchase communications.

6. Orders, quotations, and payment process

At launch, purchases are handled through direct business communication by email or contact form. Pricing, license scope, invoicing, payment details, and any VAT treatment are confirmed individually during the order process.

If payment is later processed through a third-party payment provider, that provider may process transaction data under its own terms and privacy policy.

7. Delivery

Unless otherwise agreed, software is delivered electronically by download link, license key, license file, activation response, or a similar electronic delivery method.

Delivery may require accurate contact, billing, and licensing information.

8. Licenses, maintenance, and refund policy

Unless otherwise agreed in writing, Lingobit software licenses are perpetual.

Each new license includes 12 months of updates and standard support. After that period, continued updates and support may be obtained through Annual Maintenance. Annual Maintenance and maintenance paid in advance are described in section 9.

After the included update and support period expires, the customer may continue using the last licensed version according to the applicable EULA, unless the purchased license terms expressly state otherwise.

Lingobit offers evaluation versions before purchase. At launch, Localizer Trial is available for 90 days and Extractor Trial is available for 30 days.

Paid B2B software licenses are generally non-refundable after delivery of the license key, license file, activation response, or download access.

However, refund requests may be considered if submitted within 14 days after purchase in fair cases such as duplicate purchases, purchase of the wrong edition, a major technical incompatibility that could not reasonably have been discovered during evaluation, or an unresolved blocking technical issue reported shortly after purchase.

As a condition of any refund, the customer must cease use of the software, delete license files or registration data under the customer's control, and stop using the licensed activation or registration response.

Refunds do not apply to completed support, migration, consulting, customization, or other delivered services, except where required by mandatory law. Statutory rights remain unaffected. For maintenance paid in advance for several years, section 9.3 also applies.

9. Annual Maintenance

9.1 What maintenance includes

Maintenance applies to one license key for the licensed product and edition.

During the maintenance period, the customer is entitled to:

  • all updates and new versions of the licensed product that the Provider makes generally available for the licensed edition during the maintenance period; and
  • standard support as described in the Support section of these Terms.

Versions made available to the customer during the maintenance period may continue to be used after the maintenance period ends, according to the applicable EULA. The license remains perpetual whether or not maintenance is renewed.

Maintenance does not oblige the Provider to release updates or new versions at a particular time or frequency, or with particular features, unless expressly agreed in writing.

Each maintenance year lasts 12 months. The maintenance expiration date is stated on the invoice or order confirmation.

9.2 Start of a maintenance period

New license: each new license includes 12 months of maintenance from the purchase date.

Renewal: Annual Maintenance ordered before the expiration date, or up to 90 days after it, continues from the previous expiration date.

Reactivation: if maintenance expired more than 90 days ago, it can be restarted by Maintenance Reactivation. Reactivation includes access to the current version of the licensed product and edition on the reactivation date and 12 months of maintenance from the purchase date. Years without maintenance are not charged.

Prices for Annual Maintenance and Maintenance Reactivation are shown on the website price list, in a quotation, or on the invoice.

9.3 Maintenance paid in advance for several years

One order may cover up to three consecutive maintenance years in total, including the year that comes with a new license or a reactivation.

Each year is charged at the Annual Maintenance price in the price list valid on the order date. No multi-year discount applies. All years are invoiced together on one invoice, and payment is due as stated on the invoice.

The prepaid years follow each other without gaps. The maintenance expiration date is the end of the last prepaid year. Changes to the price list during the prepaid period do not affect the prepaid years.

During the whole prepaid period, maintenance includes what is described in section 9.1.

If no update or new version is released during the prepaid period, the fee is not reduced or refunded and the period is not extended. Support under section 9.1 remains available for the whole prepaid period.

Prepaid years cannot be cancelled by the customer and are not refunded, except under the refund rules in section 8 or where mandatory law requires otherwise.

10. Product-specific license terms

Use of Lingobit software is governed by the applicable product-specific End-User License Agreement:

  • Lingobit Localizer EULA
  • Lingobit Extractor EULA

These EULAs apply in addition to these Terms.

11. Support

Support is provided for licensing, activation, installation, and product-use questions within the scope of the applicable license or maintenance status. Unless otherwise agreed, support is provided by email or contact form.

No telephone support is included unless expressly agreed in writing.

12. Customer responsibilities

The customer is responsible for selecting the appropriate product and edition, evaluating compatibility with the customer's environment, maintaining backups, protecting license credentials, and ensuring that use by employees, contractors, translators, build systems, or automation environments remains within the purchased license scope.

The customer is also responsible for complying with applicable laws and third-party terms when using online translation, AI, machine translation, payment, or other external services.

13. Intellectual property

All software, documentation, trademarks, branding, and website content remain the intellectual property of the Provider or the respective rights holders. No rights are granted except as expressly provided by the applicable license terms.

14. Permitted use of website content

Unless otherwise permitted in writing, website content may not be copied, republished, sold, or commercially redistributed beyond normal informational use related to evaluating or purchasing Lingobit products.

15. External links and third-party services

This website may contain links to third-party websites or services. Such links are provided for convenience only. The Provider is not responsible for third-party content, services, terms, privacy practices, availability, or performance.

16. Warranty and liability

The website and software information are provided for commercial information purposes. Product descriptions, screenshots, feature lists, examples, and documentation do not constitute a guarantee unless expressly stated as a guarantee in writing.

Product-specific warranty and liability terms are governed primarily by the applicable EULA and any mandatory statutory rules.

Nothing in these Terms limits or excludes liability where liability cannot be limited or excluded under applicable law, including liability for intent, gross negligence, injury to life, body, or health, or mandatory product liability.

In cases of slight negligence, the Provider is liable only for breach of essential contractual obligations. Essential contractual obligations are obligations whose fulfilment is necessary for the proper performance of the contract and on whose compliance the customer may regularly rely.

In such cases, liability is limited to typical and foreseeable damages and, to the extent permitted by applicable law, to the amount paid by the customer for the affected license during the 12 months before the event giving rise to liability.

Liability for loss of data is limited to the typical recovery effort that would have been required if the customer had made regular and appropriate backups.

Any further liability is excluded to the extent permitted by applicable law.

17. Data protection

Information about the processing of personal data is provided in the Lingobit Privacy Policy.

18. Governing law and jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

If the customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction is Berlin, Germany, to the extent permitted by applicable law.

If a customer is treated as a consumer despite the business-only limitation above, mandatory consumer protection rights and mandatory jurisdiction rules remain unaffected.

19. Final provisions

If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in effect. The invalid or unenforceable provision will be replaced by the applicable statutory rule.
